Special Terms and Conditions (Independent Collaborators)

1. Agreement

  • 1.1.The present Special Terms and Conditions (Independent Collaborators) must be read together with the other documents that form the Agreement between you and the Website Owner, Quebec corporation 9387-3560 Québec inc.: the General Terms and Conditions, the Personal Information Policy, as well as the Dispute Resolution Policy.
  • 1.2.Your collaboration to the Website constitutes your consent to be bound to the Website Owner by the present Agreement and your acknowledgement that you took notice of all the documents that form the Agreement. You agree to abide by its content.

2. Independent Collaborators

  • 2.1.Independent Collaborators include any individual who collaborates, in one way or another, to the Website’s Content.
  • 2.2.Independent Collaborators, and Users alike, must be age 21 or over.

3. Content Submission and Discretionary Decision Making by the Website Owner 

  • 3.1.Any individual aged 21 or over can submit content to the Website Owner at the following email address: redaction@zeweed.com. The submission should include the author’s first and last name, date of birth, address and email address – this information is submitted to the Personal Information Policy. 
  • 3.2.By submitting Content, an individual automatically becomes an Independent Collaborator and accepts to be bound to the Website Owner by the Agreement. The Agreement includes the General Terms and Conditions, the Personal Information Policy, the Dispute Resolution Policy as well as the present Special Terms and Conditions (Independent Collaborators).
  • 3.3.The Website Owner reserves the discretionary right to accept or refuse the publication of any submitted Content on the Website. 
  • 3.4.Before any dissemination takes place, the Website Owner and the Independent Collaborator will sign an individual publication agreement. 
  • 3.5.The Website Owner reserves the discretionary right to format or otherwise modify the presentation of Content on the Website.

4. Intellectual Property and Content

  • 4.1.All Independent Collaborators declare that the Content submitted to the Website Owner is original and does not infringe the rights of third parties. 
  • 4.2.In the event a court concludes to the violation of third-party rights, the Independent Collaborator who submitted the infringing and/or fraudulent content undertakes to reimburse and/or pay all court fees, lawyer fees as well as any damages, awarded against the Website Owner.
  • 4.3.The Website Owner acknowledges Independent Collaborators’ intellectual property rights on the Content they submit.
  • 4.4.By submitting Content, all Independent Collaborators grant a perpetual, non-exclusive licence to reproduce, display and store said Content to the Website Owner. Unless otherwise provided, by special agreement between the Independent Collaborator and the Website Owner, the license is granted free of charge.
  • 4.5.By submitting Content, all Independent Collaborators agree that their name be mentioned and disclosed to the public in relation to the Content submitted.
  • 4.6.The Website Owner retains its own intellectual property rights on the Website Content, including but not limited to the Website’s design, structure and compilations.

5. Debates and Right of Reply

  • 5.1.The Website Owner promotes healthy debates and can, upon request and at its discretion, grant a right of reply to any Independent Collaborator.
  • 5.2.All Independent Collaborators also agree to debates, as well as the Website Owner’s decision to publish content from other Independent Collaborators which may be in contradiction with their own Content.

6.Content Removal and Claims and Complaints Against Content

  • 6.1.The Website Owner can, at any time and without notice, remove published Content from the Website. 
  • 6.2.All Independent Collaborators took notice of and agree to the Dispute Resolution Policy. 
  • 6.3.In case a claim or complaint is filed, the Website Owner reserves the right to maintain or remove contentious Content without notice. 
  • 6.4.In case a claim or complaint is filed, the Website Owner can contact the Independent Collaborator who submitted the Content to ascertain whether the claim or complaint is substantiated and, if necessary, modify or remove the Content. The Independent Contractor acknowledges the Website Owner’s discretionary right to remove Content at any time.
  • 6.5.The Website Owner undertakes not to modify Content without the Independent Collaborator’s approval.
  • 6.6.In case of a claim, complaint or judicial proceedings, the Independent Collaborator must cooperate with the Website Owner and shall transmit without delay any requested information. 

Policy Modifications

  • 7.1.You accept that the Website Owner adapts and modifies the content and conditions of the Special Terms and Conditions (Independent Collaborators) from times to times. As a result, you must check it regularly and remain aware of any adaptations and modifications. Your continued use of the Website constitutes your agreement to any adaptations and modifications to the Agreement, including the present Policy.
  • 7.2.If you disagree with the adaptations and modifications brought to the Agreement, including Special Terms and Conditions (Independent Collaborators), you must cease to use the Website.
